Vendor Terms and Conditions

Vender (hereinafter called “Vender”) Vender address

SwissifyIT SARL (hereinafter called “COMPANY”) Rue de la Treille 7 2000 Neuchatel  (hereinafter individually referred to collectively as “Parties”)

Both Parties agree to the following:

Vender is willing to entrust the above-mentioned COMPANY with provision of services in online sales of its products through its ecommerce website ClicktoShop.ch (hereinafter known as “Website”).

1. Services

a. The COMPANY will provide a platform for online sales for the products offered by vender on its website. Access to the online dashboard where they can add, edit manage the products/ orders will be provided to the vender. b. Type of products sold will be discussed and agreed with the COMPANY and Vender should have the necessary legal right to sell the products in the selected delivery area.  c. Vender shall promote the website and the services offered on the website on the premises of their establishment at above mentioned address. d. Inventory list of Vender’s products on the Website shall be managed by Vender. This will include adding of new products, updating as well as removal of products as per the guidelines of the platform. e. Vender shall take necessary steps to ensure that the inventory list is always kept updated and in case any product is out of stock, it shall be accordingly shown. f. COMPANY allows you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material ("Content") you are responsible for.

2. Payment for Services

a. There will be no extra charges levied on Vender for joining and using the Website. b. The Vender would be selling products through the Website to customers. Online payments from customers will be accepted using European/Swiss payment gateways and managed by the COMPANY. On this sales amount, the COMPANY will be will be deducting payment gateway charges (Stripe - 2.9% + CHF 0.30 and PayPal - 3.4% plus CHF 0.55, per transaction) . The COMPANY shall debit the amount of payment from the remittance to Vender at the time of forwarding the order received from the customer. c. For the first 15 days, payout will be after 15 days. Thereafter payout for the sales will be made by the COMPANY to Vender every 7 days. d. The vender can choose other payment options such as cash on delivery or pay later.

3. Order, Handling, Delivery etc

a. Orders for products shall be received through the Website and they shall be forwarded to Vender via email.  b. Complete order details will be visible on vendor dashboard.            c. Upon receipt of order from clients, Vender shall immediately arrange for the products to the delivered to the designated address within a period mentioned in their shipping profile.  d. Vender shall ensure that the products dispatched are of the specifications orders and there is no variation whatsoever.  e. In case of defective products, Vender agrees to replace them at its own cost and the COMPANY shall not be held responsible. It is clarified herewith that defective goods would mean and include but not be limited to wrong product (including size), damaged product and any other shortcoming that the customer may point out.  f. Customers will be entitled to return all unopened products within 14 calendar days of sales at their own cost. Upon consultation with Vender, Website will provide refund to the consumers for all non-opened products in the form of gift certificate which can be thereafter be used to buy any product on the Website.

4. Confidential information

a. Parties shall take all reasonable precautions to ensure that confidential information received in relation to each other, whether technical or commercial will be held confidential.

5. Term and Termination a. This Agreement shall come into effect on               and shall remain in effect until              . b. The Parties shall have the right to terminate this Agreement at any time upon sixty (60) days prior notice. In the event of such termination, the Parties shall have no further obligation to each other under this Agreement, except for the payment of accrued expenses if any. Such expenses shall be paid by the Parties to each other within thirty (30) days of receipt of the invoices. 

6. Applicable law and place of jurisdiction

a. This Agreement shall be governed by the laws of Switzerland. b. The exclusive place of jurisdiction shall be the Canton of Neuchatel.
